Heliocentris acquires outstanding shares of P21 GmbH and receives a further
investment of EUR 1.8 million
* Issuing of 630,208 new shares against EUR 1.8 million in cash and 25% of
the shares of P21 GmbH
* With the shareholders of P-21 Energy Solutions Heliocentris receives an
excellent strategic investor at the group level
* Targeted consolidated group structure successfully completed
Berlin - 13 April 2012. The P-21 Energy Solutions, L.P., an investment
vehicle on the Cayman Islands, has contributed their share of P21 GmbH, to
date a 75% subsidiary of Heliocentris Energy Solutions AG, in Heliocentris
AG. In addition, the strategic shareholder increases its stake in
Heliocentris AG by investing an additional EUR 1.8 million in cash.
For the contribution of their share of 25% and a shareholder loan of almost
EUR 0.3 million as well as a fresh investment of EUR 1.8 million, P21
Energy Solutions L.P. will receive 630,208 new shares from the authorized
capital without subscription rights of the Heliocentris AG. Thus, they will
hold after the registration of the capital increase, a share of 11.6% in
Heliocentris. The transaction was based on a Heliocentris share value of
EUR 5.60.

our overall strategy we can use the additional capital well to further
accelerate our strong growth. The full take-over of P21 GmbH allows us to
complete the consolidation of the organization, the employees and the
market presence of P21 GmbH. We can now be more focused in implementing our
overall strategy.'
The share capital will increase from EUR 4.823 million to EUR 5.453
million.

hybridisation of energy generators such as, solar and wind or even diesel
generators with energy storage such as batteries and the own hydrogen fuel
cell based storage solutions based on our scalable energy management
solutions. Heliocentris has already successfully demonstrated its expertise
in this area in numerous projects with renowned partners across the world.

learning and research systems for fuel cell and solar hydrogen technology
and other regenerative energy technology. Customers include training
